Marvell Buys Lumentum for $115B: The Biggest Bet Yet on AI's Bottleneck

Today's trend: Marvell Technology agreed on November 2, 2026 to acquire optical components and networking equipment maker Lumentum Holdings in an all-stock deal with an implied enterprise value of $115 billion including debt (about $80 billion equity value, roughly $1,132 per Lumentum share, a 23.9% premium to unaffected prices), with Lumentum shareholders receiving 4.5 Marvell shares for each Lumentum share and the deal expected to close in the first half of 2028. Both stocks fell on the news. The rationale is that copper interconnect is hitting its physical ceiling as AI data centers scale, so optical connectivity - moving data as light rather than electricity - is becoming the new bottleneck for AI clusters. The combined company, positioned as a category leader in AI connectivity, is one of the largest technology deals ever announced and the clearest signal yet that the AI buildout has moved from chips to the pipes between them.
